Introduction

Welcome to Vendors, a premier rating and review platform for the commercial services industry. These Terms of Service ("Terms") govern your access to and use of the Vendors website, mobile application, and any other interfaces or services provided by us (collectively referred to as the "Service"). Please read these Terms carefully before accessing or using the Service.

Vendors is a collaborative platform that allows users to rate, review, and exchange information about various commercial service providers. Our goal is to create a transparent and user-driven resource that aids in the selection and evaluation of commercial services.

6. Not institute, assist, or become involved in any type of attack, including without limitation to distribution of a virus, denial of service attacks upon the Service, or other attempts to disrupt the Service or any other person's use or enjoyment of the Service.

Vendors reserves the right to remove any content or terminate any user account that violates these Terms or is deemed harmful, offensive, or otherwise in violation of these Terms.

Content Ownership

As a user of the Service, you retain ownership of the content you submit. However, by submitting content, you grant Vendors a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Service.

Reviews and Ratings

Users may submit reviews and ratings for commercial service providers. Vendors does not verify or endorse the accuracy, reliability, or quality of these reviews and ratings. We are not responsible for any transactions, interactions, disputes, or any resulting losses, damages, or claims between users and commercial service providers.

Intellectual Property

All rights, title, and interest in and to the Service (excluding content provided by users) are and will remain the exclusive property of Vendors and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Disclaimer of Warranties

Vendors provides the Service on an "as is" and "as available" basis, without warranty of any kind, express or implied, including but not limited to, the implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose, and any warranties implied by any course of performance or usage of trade, all of which are expressly disclaimed.

In no event will Vendors, or its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Indemnification

You agree to defend, indemnify, and hold harmless Vendors and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Service.

Vendors reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Governing Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to or application of its conflict of law provisions or your state or country of residence.

Severability

If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
